Business Transactions & Financial Services General Overview
Brach Eichler’s Business Transactions & Financial Services practice provides representation and counseling concerning virtually all aspects of business transactions and business law as well as a collaborative interdisciplinary approach to transactions to ensure that our clients receive the advice necessary to compete and succeed in today’s complex financial marketplace. Our interdisciplinary practice group is composed of numerous attorneys who focus on specific areas of law that fall under the greater umbrella of transaction matters and business law.
Business Transactions General Overview
We represent businesses ranging from small family-owned operations to large private corporations in a variety of industries. We represent clients in a variety of transactions, including asset acquisitions, stock acquisitions, debt offerings, equity offerings, real estate development, lease financings, commercial leasing, and entity formations and structuring.
Our attorneys address the diverse, day-to-day business needs of their businesses, whether they are corporations, limited liability companies or partnerships. Specifically, we assist our clients with such matters as:
- Entity choice, governance and management
- Capitalization and financing
- Purchasing and selling assets
- Shareholders agreements, operating agreements and partnership agreements
- Employment and restrictive covenants
- Facilities expansion and contraction
- Customer and vendor/supplier contracting
- Workforce management
- Executive compensation
- Owner conflict resolution and split-ups
- Legal and business counseling and crisis management
- Labor and employment issues
Typically, for those clients without internal legal resources, we serve as “outside” general counsel, fulfilling the role of business advisor while servicing a broad range of legal needs. For companies that have an internal legal staff, yet require specific support to service certain legal needs, we provide the appropriate expertise, experience and focus to enable them to achieve their legal and business objectives. In either case, the real world experiences of our team members allow us to deliver practical solutions and counsel, rather than mere legal theory.

Our group handles a broad range of corporate transactions for clients of all sizes, from small, closely-held businesses to large corporations. We represent private companies at all stages of development, from established family businesses to start-up and emerging businesses. More specifically, we counsel national and regional banks, hedge funds, private investment funds, mezzanine funds, commercial finance companies and various other non-bank lenders in all areas of commercial lending, including:
- asset-based financing
- real estate acquisition
- development and construction financing
- general secured/cash flow financing
- second lien financing
- industrial revenue bond financing/tax-free financing
- health care financing
- mezzanine financing
- equipment lease financing
Our group has a great deal of experience in health care financing and regularly works with banks to provide lending to hospitals, nursing home facilities and assisted living facilities, as well as structuring financing for surgery centers. A significant amount of our time is also devoted to commercial real estate--guiding businesses such as construction companies, supermarkets, restaurant franchises, homebuilders, retail and department stores, and apartment buildings on leasing, loans and borrowing for leasehold improvements.
When necessary, the group works in collaboration with attorneys skilled in other practice areas, such as business transactions and business law, real estate, employment law, health law and litigation, in order to satisfy the clients’ needs in the most efficient and economical manner.
