- Successfully represented an Orthopedic Center in the acquisition of 51% of the practice by a Large Healthcare system
- Represented the client in the acquisition of three free-standing imaging facilities in the State of New Jersey. The transaction was structured as an equity purchase, in which the client’s entity acquired one hundred percent of the Seller’s equity in the entity operator of the facilities.
- Represented the client in the formation of a joint venture between an affiliate of the health care system and a community physician in connection with the acquisition of the assets of five clinical physical therapy entities. The transaction was structured as contribution transaction, with the health care system contributing capital and the physician contributing assets to the joint venture.
- Represented our client in the acquisition of two licensed imaging facilities in southern New Jersey. The transaction was structured as an asset purchase. In addition to the asset purchase transaction, we handled the licensure transfer application, physician employment agreements, and real estate lease negotiations.
